These Terms & Conditions (“Terms”) are a binding agreement between you and HappyChases Media Works OPC Private Limited (“we”, “us”, “our”), an OPC Private Limited incorporated in India, governing your access to and use of a2p.guide and its content, tools, and downloads (the “Site”). If you do not agree, do not use the Site.

1. Informational purpose only

The Site summarizes publicly available information about US Application-to-Person (A2P) messaging and calling — registration, fees, throughput, and regulation. Laws, carrier rules, registry fees, and deadlines change, and may have changed since a page was last updated. Nothing here is a substitute for the primary sources (see our Official US government resources) or professional advice tailored to your situation.

2. No warranties

THE SITE AND ALL CONTENT AND TOOLS ARE PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF ACCURACY, COMPLETENESS, CURRENCY, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Site will be uninterrupted, error-free, secure, or that any figure, calculation, date, or statement is accurate or current. Any reliance you place on the Site is strictly at your own risk.

3. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, in no event will HappyChases Media Works OPC Private Limited, its officers, directors, employees, contractors, or contributors be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, regulatory penalties, fines, blocked or throttled traffic, or business opportunity, arising out of or relating to your use of (or inability to use) the Site or reliance on its content or tools — whether based in contract, tort, negligence, strict liability, or otherwise, and even if advised of the possibility of such damages. To the extent any liability cannot be excluded, our total aggregate liability is limited to INR 1,000 (or its equivalent), or the minimum amount permitted by applicable law, whichever is greater.

4. Indemnification

You agree to indemnify, defend, and hold harmless HappyChases Media Works OPC Private Limited and its representatives from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use of the Site, your reliance on its content or tools, or your violation of these Terms or any law.

5. Intellectual property

The Site’s original text, design, layout, code, and compilations are © HappyChases Media Works OPC Private Limited and are protected by intellectual-property laws. You may view, share links to, and print pages for your own internal, non-commercial reference. You may not scrape, bulk-copy, republish, resell, or create derivative works from the Site’s content without our prior written permission. Third-party names, marks, and figures referenced on the Site belong to their respective owners and are used for identification and commentary only.

6. Acceptable use

You agree not to: use the Site unlawfully; attempt to disrupt, overload, or gain unauthorized access to it; misrepresent the Site’s content as legal advice or as your own; or use it in any way that could damage, disable, or impair the Site.

7. No affiliation

We are independent. We are not affiliated with, endorsed by, or sponsored by the Federal Communications Commission (FCC), the Federal Trade Commission (FTC), CTIA, The Campaign Registry (TCR), Somos, any vetting provider, any mobile carrier, or any CSP/CPaaS. References to them are for information only.

The Site links to government, regulator, carrier, and vendor resources we do not control. We are not responsible for the content, accuracy, or practices of any external site, and a link is not an endorsement.

9. Changes to the Site and Terms

We may modify, suspend, or discontinue any part of the Site, and may update these Terms, at any time. Changes take effect when posted with a new “Effective date”. Your continued use after changes constitutes acceptance.

10. Governing law and jurisdiction

These Terms are governed by the laws of India, without regard to conflict-of-laws rules. Subject to applicable law, the courts at the registered office of HappyChases Media Works OPC Private Limited in India will have exclusive jurisdiction over any dispute, and you consent to that jurisdiction and venue.

11. Severability and entire agreement

If any provision of these Terms is held unenforceable, the remaining provisions remain in full force, and the unenforceable provision will be enforced to the maximum extent permitted. These Terms, together with the Privacy Policy and Disclaimer, are the entire agreement between you and us regarding the Site.
